Corporate Governance
In carrying out the functions and exercising the powers set out in this Charter, the Board will at all times act to protect and enhance shareholder value and conduct the Company's business ethically and in accordance with the law.

It will practise the highest standards of corporate governance in the interests of shareholders, employees, customers and the communities in which it operates.

In March 2003 the ASX Corporate Governance Council established a number of principles and recommendations for Best Practice Corporate Governance. It is a requirement that ASX listed companies analyse and report their compliance with such in their Annual Report.

Should there be instances of non compliance then reasons for such must be reported.

The 10 Best Practice Corporate Governance Principles are:
Lay solid foundations for management and oversight
Structure the Board to add value
Promote ethical and responsible decision making
Safeguard integrity of financial reporting
Make timely and balanced disclosure
Respect the rights of shareholders
Recognise and manage risk
Encourage enhanced performance
Remunerate fairly and responsibly
Recognise the legitimate interests of stakeholders
Bass Metals Ltd is a junior exploration company that was admitted to the official list of the ASX on October 20th 2005.

Although the Bass Metals Board is committed to the above recommendations, the corporate governance policies and principles are to be established, implemented and monitored in such a way as to not compromise or distract the Board and management from its key goals and in a way that ensures the organisation carries on its business in an efficient and effective manner.

The Board has developed policies, procedures and guidelines to ensure that an appropriate and optimal level of corporate governance is put in place, and these are disclosed in this document. The changing nature of the organisation as it evolves into a producing company will necessitate ongoing review of corporate governance requirements and associated changes where deemed required.
